These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Wellness AM I™ LLC ("Wellness AM I™," "we," "us," or "our") governing your access to and use of the Wellness AM I™ mobile application, web platform, and all associated content and services (collectively, the "Platform").
By creating an account, downloading the app, or accessing any part of the Platform, you confirm that you are at least 18 years of age, have the legal capacity to enter into this agreement, and agree to be bound by these Terms and our Privacy Policy.
Organizational Accounts: Access to the Platform is granted through your Organization's subscription. Your login credentials are provided by your Organization's Administrator. You are responsible for keeping your credentials confidential and for all activity that occurs under your account.
Account Security: You agree to notify us immediately at [email protected] if you suspect unauthorized access to your account. We are not liable for losses arising from unauthorized use of your credentials due to your own negligence.
Accuracy: You agree to provide accurate information when setting up your profile and to keep your information current.
Subject to your compliance with these Terms, Wellness AM I™ grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal wellness purposes as facilitated through your Organization's account.

Always consult a qualified healthcare professional before beginning any new wellness, exercise, or breathwork practice, particularly if you have a pre-existing medical condition. By using the Platform, you acknowledge and accept that you are doing so at your own discretion and risk.
Organizational Agreements: If you are accessing the Platform as an Administrator or on behalf of an Organization, your use is also governed by the Pilot Agreement, Service Agreement, or Order Form entered into between Wellness AM I™ and your Organization. In the event of any conflict between these Terms and that agreement, the organizational agreement controls with respect to the Organization's account.
Administrator Responsibilities: Administrators are responsible for managing their organization's account, ensuring that only authorized employees receive access, and ensuring that their use of the dashboard and data exports complies with applicable employment and privacy laws.
Employee Privacy: Administrators acknowledge that individual employee wellness data is never disclosed through the Platform in identifiable form and agree not to attempt to identify individual employees from aggregate dashboard data.
The Platform, including all Content, software, design, graphics, session materials, scripts, affirmations, brand elements, and the Wellness AM I™ name and trademark, are the exclusive intellectual property of Wellness AM I™ LLC or its content contributors, and are protected by applicable copyright, trademark, and other intellectual property laws.
"Wellness AM I™" is a trademark of Wellness AM I™ LLC. All rights reserved. You may not use the Wellness AM I™ name, logo, or trademark without our prior written consent.
The Platform may offer integrations with third-party tools such as Trello, Slack, or calendar applications for the purpose of sharing aggregate organizational data. Your use of any third-party service is subject to that service's own terms of service and privacy policy. Wellness AM I™ is not responsible for the privacy practices or content of any third-party service.
The Platform may contain links to external websites or resources. These links are provided for convenience only. We do not endorse and are not responsible for the content, products, or services available from third-party sites.
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WELLNESS AM I™ DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:
Wellness AM I™ does not guarantee specific wellness outcomes. Individual results may vary based on frequency of use, consistency of engagement, and individual health factors.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WELLNESS AM I™ LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR CONTENT CONTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
IN NO EVENT SHALL WELLNESS AM I™'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOUR ORGANIZATION FOR THE PLATFORM IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability shall be limited to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless Wellness AM I™ LLC and its officers, directors, employees, agents, and content contributors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
By You: You may stop using the Platform at any time. If you wish to close your account, please contact [email protected].
By Us: Wellness AM I™ reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users, us, or third parties, or for any other reason.
Effect of Termination: Upon termination, your license to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — shall survive.
These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, United States, without regard to its conflict of law provisions.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall first be submitted to informal negotiation by emailing [email protected]. If the dispute is not resolved within 30 days, either party may pursue resolution through binding arbitration or in the courts of Beaufort County, South Carolina, as applicable.
You agree that any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and notify active users via the Platform or by email where required by law.
Your continued use of the Platform after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must discontinue use of the Platform.
